1. Acceptance of Terms

Welcome to Koziny. These Terms of Service ("Terms") form a binding agreement between you and Ciercle LLC ("we", "us", or "our") and govern your use of the Koziny mobile app (iOS and Android), our website at koziny.com, and any related services (collectively, the "Service").

By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

These Terms are supplemented by the Apple App Store Standard EULA (for iOS users) and the Google Play Terms of Service (for Android users), as applicable.

2. Eligibility & Account

To use Koziny, you must be at least 13 years old (or 16 in the European Economic Area, or the minimum age required by your jurisdiction). By using the Service, you represent that you meet this requirement.

Your account

• Provide accurate, current, and complete information when registering.
• Keep your password and authentication credentials secure.
• You are responsible for all activity that occurs under your account.
• One account per person; do not share your account with others.
• Notify us immediately at support@koziny.com if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms (see Section 9).

3. The Service

Koziny is an AI-powered kitchen companion that lets you scan ingredients with your camera, browse 4,000+ recipes across 20 cuisines, generate AI meal plans, build shopping lists, and filter recipes against your allergy profile.

License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Koziny app on a personal device that you own or control, solely for your personal, non-commercial use.

Service availability

The Service requires an active internet connection and compatible device for most features. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

4. Subscriptions & Payments

4.1 Free vs. Pro

Koziny offers a Free tier (full recipe library, search, allergy filtering, manual meal planning, cooking mode) and a Pro tier at $5.99 / month that adds AI ingredient scanning, AI meal-plan generation, AI recipe creation, and personalized recommendations.

4.2 Billing

• Pro subscriptions are billed and managed by the Apple App Store (for iOS) or Google Play (for Android), not by us directly.
• Your subscription will automatically renew at the end of each billing period at the then-current price unless you cancel at least 24 hours before the renewal date.
• Payment is charged to your Apple or Google account at confirmation of purchase.
• We never receive or store your card details.

4.3 Cancellation

You can cancel your Pro subscription at any time through the App Store or Google Play subscription settings on your device. Pro features remain active until the end of your current billing cycle. We do not provide pro-rated refunds for partial billing periods, except where required by law.

4.4 Refunds

Refund requests are handled by Apple or Google according to their respective refund policies. We are not able to issue refunds for in-app purchases directly. EU consumer-protection laws (including the 14-day right of withdrawal) may grant additional rights to EU residents — these are honored as required by law.

4.5 Price changes

We may change the price of Pro at any time. Material price changes will be communicated to existing subscribers at least 30 days before they take effect. Your continued subscription after the price change constitutes acceptance.

5. User Content & Conduct

5.1 Your content

Content you create or submit through the Service — including ratings, reviews, feedback, custom recipes, meal plans, and uploaded images — remains your content. You retain ownership.

By submitting content, you grant Ciercle LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display that content solely for the purpose of operating, providing, and improving the Service. This license ends when you delete the content or your account, except where retention is required for legal or backup purposes.

You represent that you have the right to submit any content you provide, and that it does not violate any third-party rights or applicable law.

5.2 Prohibited conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law.
• Reverse engineer, decompile, or attempt to extract the source code of the app.
• Resell, sublicense, or redistribute any part of the Service or its content.
• Use bots, scrapers, or any automated means to access the Service.
• Interfere with, disrupt, or overload our infrastructure.
• Attempt to access another user's account or our internal systems.
• Submit content that is unlawful, harassing, defamatory, infringing, or harmful.
• Misrepresent your identity or affiliation.
• Circumvent the Pro paywall or any technical access controls.

6. AI Features & Disclaimers

6.1 AI is not perfect

Koziny's AI features (ingredient scanner, AI meal plans, AI recipe generation) are powered by third-party large language and vision models. They can produce inaccurate, incomplete, or unexpected results. Always use your own judgment and verify the output before cooking.

6.2 Allergy filtering — best effort, not a guarantee

Our allergy detection automatically filters recipes against the 9 major allergens you can configure (plus any custom allergen you add), but it is a best-effort tool, not a medical-grade safeguard. Always read recipe ingredients yourself and verify packaging labels for any product you use. If you have a severe allergy, consult a qualified medical professional.

Ciercle LLC is not liable for allergic reactions, dietary harm, or other health consequences resulting from your use of the Service.

6.3 Not medical or nutritional advice

Calorie counts, macros, and nutritional information shown in Koziny are estimates based on USDA data and AI calculations. They are for informational purposes only and are not medical, dietary, or nutritional advice. Consult a qualified healthcare provider before starting any diet, meal plan, or weight-management program.

6.4 "AS IS" service

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content. We do not warrant that the Service will be uninterrupted, secure, or error-free.

7. Intellectual Property

The Koziny app, website, name, logo, brand, design, features, and underlying source code are owned by Ciercle LLC and protected by U.S. and international copyright, trademark, and other intellectual-property laws.

The 4,000+ recipe library, including curated content, photographs, and metadata, is licensed to or owned by Ciercle LLC. You may not copy, scrape, redistribute, resell, or otherwise exploit recipe content for commercial purposes.

Nothing in these Terms grants you any right, title, or interest in or to the Service, except the limited license expressly granted in Section 3.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ciercle LLC, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including (without limitation) lost profits, lost data, business interruption, allergic reactions, dietary or medical harm, or other personal injury — arising out of or related to your use of the Service.

Our total aggregate liability to you for any claim arising out of or related to the Service shall not exceed the greater of (a) the amount you paid Ciercle LLC for the Service in the 12 months immediately preceding the claim, or (b) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages — in those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded by law.

9. Termination

By you: you may stop using the Service at any time. To delete your account and all associated data, go to Profile → Settings → Delete Account inside the app. The deletion is immediate and permanent (see our Privacy Policy for retention details).

By us: we may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or created legal or operational risk for Ciercle LLC.

Sections that by their nature should survive termination (including Sections 5–8 and 10) will survive.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that you may bring an individual claim in small-claims court if it qualifies.

Class-action waiver: you and Ciercle LLC agree that any dispute will be brought on an individual basis only — not as a class, collective, or representative action.

EU and UK residents have additional rights under their national consumer-protection laws, including the right to bring proceedings in their country of residence. Nothing in this section limits those rights.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you via:

• An in-app notice the next time you open Koziny, and
• An email to the address associated with your account, sent at least 30 days before the changes take effect.

The "Last updated" date at the top of this page always reflects the current version. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may delete your account.
